Terms of Use
Effective date:
These terms are the agreement between you and Athlonaut LLC for using Groupies. We’ve kept them as short and plain as we can. Please read them along with our Privacy Policy, which explains how we handle your information.
Who we are and agreeing to these terms
Groupies is a shared calendar and event signup tool for community groups. It works on the web at groupi.es and inside Slack and Discord. Groupies is operated by Athlonaut LLC (“Athlonaut”, “we”, “us”), 4539 N 22nd St Ste N, Phoenix, AZ 85016, USA.
By using Groupies, including installing it in a Slack workspace or Discord server, using its commands or buttons, or creating an account on the web, you agree to these terms. If you don’t agree, don’t use Groupies.
If you use Groupies for a club, organization or business, you also accept these terms on its behalf, and you confirm that you’re allowed to.
In these terms, a “group” means the people using Groupies together, usually connected to a Slack workspace or a Discord server. A “group admin” is a group’s owner or one of its admins. An “organizer” is a person or group that runs an event on Groupies.
Your account
You can use Groupies on the web, with an account you create through our sign-in provider, Clerk, or inside Slack and Discord. In Slack and Discord you don’t need a web account: Groupies knows you by your Slack or Discord account. If you later sign in on the web with that same Slack or Discord account, your groups and signups come with you.
You must be at least 13 years old to use Groupies. Groupies isn’t directed at children under 13.
You’re responsible for your account and for what’s done with it, including keeping your sign-in details and your Slack or Discord account secure. If you think someone else is using your account, tell us through the contact page.
Groups, admins and workspaces
- The workspace or server is the boundary. When a group is connected to a Slack workspace or a Discord server, anyone in that workspace or server can join the group by using Groupies there. Bear that in mind when you choose where to install it.
- Admins run their group. Group admins control the group’s calendars and who can see each one, its members and circles, and who can create and manage events. They can remove members, and they can turn off someone’s access to the group and, if they choose, take them off upcoming events.
- Permission to install. If you install Groupies in a Slack workspace or add it to a Discord server, you confirm that you’re authorized to do so for that workspace or server.
- Calendar visibility. Each calendar has a setting for who can see it. If it’s set to “Anyone with the link”, anyone who has the link can see its events and who signed up for them, and the calendar can be embedded on other websites. Choose visibility with care.
Your content
The events, slots, notes, calendars and other things you add to Groupies (“your content”) belong to you or your group. We don’t claim ownership of them.
You give Athlonaut a worldwide, non-exclusive, royalty-free license to host, store, copy, display and deliver your content, only as needed to run Groupies for you and your group. That includes showing event cards in Slack and Discord, showing events on the web, in calendar feeds and in embeds, and showing a calendar publicly when its visibility is set to “Anyone with the link”. The license ends when your content is deleted, except for copies kept as our Privacy Policy describes and copies others have already received, such as in a calendar app.
You’re responsible for your content and for having the right to post it. Remember that the people who can see a calendar will see what you post to it.
If you send us feedback or ideas, we may use them without owing you anything.
Acceptable use
Don’t use Groupies to:
- post anything unlawful, or anything that infringes someone else’s rights;
- send spam, or post events or messages meant to mislead people;
- harass, threaten or abuse anyone;
- share other people’s personal information through public calendars, embeds or calendar feeds without the right to do so;
- scrape, crawl or bulk-download Groupies, or access it by automated means other than the calendar feeds and embeds we provide;
- probe or get around Groupies’ security or access controls, get into accounts, groups or calendars that aren’t yours, or interfere with or overload the service;
- break Slack’s or Discord’s rules, or anyone else’s terms, through Groupies.
If you find a security problem, please tell us through the contact page rather than testing it further.
Paid events and payments
Paid events are optional and may not be available to every group yet. Where they are, an event’s organizer chooses how people pay:
- Pay the organizer. Groupies shows links to the organizer’s Venmo, PayPal, Cash App or Zelle. Those payments happen between you and the organizer, in those apps. Groupies isn’t a party to them, doesn’t process or hold the money, and can’t confirm, reverse or refund them. Marks such as “I’ve paid” or “Paid” are for the group’s information only; they don’t prove that a payment was made.
- Card payments through Stripe. Members pay by card when they sign up, straight into the group’s own Stripe account. Groupies never holds the money.
Payment processing services for event organizers on Groupies are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these terms or continuing to operate as an event organizer on Groupies, you agree to be bound by the Stripe Services Agreement, as the same might be modified by Stripe from time to time. As a condition of Groupies enabling payment processing services through Stripe, you agree to provide Groupies accurate and complete information about you and your business, and you authorize Groupies to share it and transaction information related to your use of the payment processing services provided by Stripe.
A group admin connects the group’s Stripe account and accepts Stripe’s terms during Stripe’s own sign-up. Stripe handles the information it collects as described in the Stripe Privacy Policy.
The organizer is the seller. For card payments, the group that connected Stripe is the merchant of record, not Groupies or Athlonaut. The organizer is responsible for the event itself and for describing it accurately, for its refund policy, for any taxes, and for chargebacks and disputes. Stripe’s processing fees are charged to the group’s Stripe account.
Fees. Groupies keeps a platform fee from each card payment, taken out of the amount the group receives. People paying are charged the price shown on the slot. The fee is the one shown in Settings → Payments before you turn on card payments.
Holding a spot. When you start paying for a slot, your spot is held for 15 minutes. If a payment arrives after the hold has lapsed and the slot has filled, the payment is refunded automatically.
Refunds. An organizer can set a refund window for an event, as a number of hours before it starts. If you leave a paid slot before the window closes, you’re refunded automatically and in full, including Groupies’ fee. After it closes, or if the event has no refund window, leaving doesn’t refund you, and Groupies asks you to confirm first. People who manage an event can choose to refund someone when they remove them from it. Cancelling an event doesn’t refund payments automatically. Any other refund is up to the organizer, who can also refund from their Stripe dashboard.
Plans and pricing
Groupies is free at launch. Groups that join now are founding groups and get every feature free while we work out pricing.
Paid plans may come later, alongside a free one. If we start charging for anything that’s currently free, we’ll give you notice first.
The platform fee on card payments, described above, is separate from any plan.
Other companies’ services
Groupies works with services run by other companies, including Slack, Discord, Clerk, Stripe, Venmo, PayPal, Cash App, Zelle, and calendar apps such as Google Calendar, Apple Calendar and Outlook. Your use of those services is governed by their own terms and privacy policies, not these.
We don’t control those services and aren’t responsible for them, for their availability, or for what they do with your information. If one of them changes or stops supporting Groupies, some features may stop working.
The service and changes to it
We work to keep Groupies running well, but we provide it “as is” and “as available”. We can’t promise it will always be available or free of errors.
Groupies is still being built. We may add, change or remove features, and we may limit or stop parts of the service.
We may suspend or limit an account, group or calendar, or remove content, if we reasonably believe it breaks these terms or puts other people or Groupies at risk, or if the law requires it.
Ending your use
You can stop using Groupies at any time. A Slack workspace can uninstall Groupies, or a group admin can disconnect Slack in Groupies’ settings. A Discord server can remove the Groupies bot. You can delete your web account, or ask us to. Our Privacy Policy explains what happens to your information and how to ask us to delete it.
We may end your access to Groupies, or a group’s, if you or the group seriously or repeatedly break these terms, or if the law requires it.
Parts of these terms that by their nature should continue, such as the disclaimers, the limitation of liability and governing law, still apply after your use ends.
Disclaimers
To the extent the law allows, Groupies is provided without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
Groupies is a tool for organizing. We don’t run, check or supervise the events people post, and we aren’t responsible for those events, for what happens at them, or for how members, organizers and groups behave.
Some places don’t allow certain warranties to be excluded, so some of this may not apply to you.
Limitation of liability
To the extent the law allows, Athlonaut isn’t liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to Groupies or these terms.
To the extent the law allows, Athlonaut’s total liability for any claim arising from or related to Groupies or these terms is limited to the greater of the amount you paid Athlonaut for Groupies in the 12 months before the claim and US$100.
Nothing in these terms limits liability that the law doesn’t allow to be limited.
Governing law
These terms are governed by the laws of the State of Arizona, USA, without regard to its conflict of laws rules. Any dispute arising from or related to these terms or Groupies will be brought in the state or federal courts located in Maricopa County, Arizona, and you and Athlonaut consent to those courts’ jurisdiction.
If the consumer protection laws where you live give you rights that these terms can’t take away, these terms don’t take them away.
If any part of these terms can’t be enforced, the rest still applies. If we don’t enforce a part straight away, we can still enforce it later. These terms and our Privacy Policy are the whole agreement between you and Athlonaut about Groupies.
Changes to these terms
We’ll update these terms as Groupies changes. When we do, we’ll post the new version on this page and change the effective date at the top. If a change is significant, we’ll also let you know before it takes effect, on the website or in Groupies.
If you keep using Groupies after new terms take effect, you agree to them. If you don’t agree, stop using Groupies.
